Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your use of Accord, operated by Rural Capital LLC ("we," "us"). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.
2. The service
Accord is an event-coordination workspace that lets an event planner ("you," the "Planner") organize events, build shared timelines, and coordinate the third-party vendors working those events. Vendors view event information through unique access links without creating accounts. Accord is a coordination tool — we do not vet, endorse, or guarantee any vendor, and we are not a party to any agreement between you, your clients, and your vendors.
3. Accounts
You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. You must be at least 18 and authorized to act for your business.
4. Your responsibilities regarding vendors, clients, and their data
When you add vendors, enter client details, and share event information:
- You confirm you have a lawful basis and the right to enter the contact information of vendors and clients into Accord, and to share event information with the vendors you invite.
- You are the controller of the vendor and client information you enter; Accord processes it on your behalf. You are responsible for your own compliance obligations toward your vendors and clients (including any required notices or consents).
- Vendor access links grant whoever holds them a view of the event timeline and any documents you mark as shared. You are responsible for distributing links only to the intended vendors, and for revoking or regenerating a link (available in the app) if it is shared beyond its intended recipient.
- You will not upload documents containing information you are not entitled to hold or share.
5. Acceptable use
You agree not to: upload malware or unlawful content; attempt to access other planners' data; probe, scrape, guess access codes, or overload the service; or misuse the unauthenticated vendor links.
6. Vendors (non-account users)
Vendors access event information through a link containing a unique code, without creating an account. Vendors agree that the event information and documents they view are provided for the purpose of performing their services for that event, and that their contact details shown on the event were provided by the inviting Planner. Vendors should direct questions about their data to the Planner who invited them.
7. Your content
You retain ownership of the content and documents you upload. You grant us a limited license to store, process, and display that content solely to provide the service. Documents you delete are removed from storage; access-link history (including revoked links) is retained as an audit record per the Privacy Policy.
8. Fees
The service is currently provided free of charge during the pre-launch period; paid plans will be introduced with notice.
9. Service availability
We aim for high availability but provide the service "as is" and "as available." We may modify, suspend, or discontinue features. No SLA is offered at this stage.
10. Disclaimers
Accord is a coordination and workflow tool. We do not verify the accuracy of event information, timelines, or documents entered by you or viewed by your vendors, and we do not guarantee that any vendor has seen, acknowledged, or acted on any information. Reliance on information coordinated through Accord is at your own risk. To the maximum extent permitted by law, we disclaim all warranties, express or implied.
11. Limitation of liability
To the maximum extent permitted by law, Rural Capital LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss arising from events coordinated through the service. Our total liability for any claim arising out of or relating to the service will not exceed the greater of the amounts you paid us in the twelve months before the claim arose or $100.
12. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your use of the service, your content, or your handling of vendor or client data in violation of these Terms or applicable law.
13. Termination
You may stop using the service at any time. We may suspend or terminate access for violation of these Terms. On termination, your data is retained and then deleted per the Privacy Policy's retention schedule (life of the account plus 90 days).
14. Changes to these Terms
We may update these Terms; we'll post the new version and effective date and notify account holders of material changes. Continued use after changes means acceptance.
15. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.
